Листая этот форум, так и не нашел конкретного объяснения в чем различия трех понятий: IPO, ICO, IEO. А потому решил разобраться сам, и вот плоды моих исканий. IPO - первичное публичное предложение акций акционерного общества. Это понятие больше относится к классическим биржам. Эти биржи существовали еще за долго до появления криптовалютных бирж. Когда же появились эти наши криптобиржи - то им ничего не оставалось кроме как перенять это понятие. Но не на долго, так как потом появились понятия которые уже ассоциируются именно с криптой. И об этом ниже. ICO - первичное предложение монет. Нет. Это еще не то понятие которое пришло на смену IPO, это его предтеча. Почему так? Да потому что ICO - можно толкать даже не через биржу, а через телеграмм, или какой нибудь сделанный на коленке сайт. На хайпе 17-го года количество ICO - не поддается подсчету, при чем большинство из них оказались скамом и лишь небольшой процент принесли плоды как вкладчикам так и криптосообществу в целом. IEO - первичное биржевое предложение. Вот здесь уже есть больше что сказать. Исходя из того что в умах криптоинтузиастов понятие ICO уже вызывало рвотный рефлекс, ему на смену пришло другое понятие. Но не просто другое слово, а именно измененный подход к первичному предложению монет. Теперь дабы обезопасить вкладываемые средства инвесторов (нас с вами в том числе) биржа берет на себя часть ответственности за ICO, и что бы мы знали что это так - называет его IEO, типа: "ребята сильно не парьтесь мы окинули этот проект свои оком, и все вроде как тип-топ". Это понятие IEO и можно назвать понятием относящимся именно к криптовалютноы сферам в отличии от IPO. Таким образом на сегодняшний день в криптосообществе уже мало кто использует понятие IPO, так как понятие это пришлое, а используют понятие IEO. Понятие же ICO, было типо переходным понятием, но не исчезнувшим потому что никто не запрещает вам создать сайт (если это не запрещено законодательством страны вашего проживания) и через сторонние платежные системы рекламить свои монеты и торговать ими. Filecoin собрал более 257 млн долларов осенью 2017. Polkadot в результате четырёх приватных и публичных сейлов, проведённых в 2017, 2019 и 2020 годах привлёк около 248 млн долларов, и т.д. можно продолжать до бесконечности. Тема интересна и объёмная, поэтому, чтобы разобраться начнём с теории, далее перейдём к тесту площадок и примем участие в сейле одной из криптовалют. Количество токенов может быть фиксированным или определённым процентом от общей эмиссии. Цену за токен устанавливает команда проекта, она может варьироваться на разных этапах и зависеть от условий конкретного сейла. Токенсейл для любого проекта это возможность привлечь средства на дальнейшую разработку, а для инвесторов возможность приобрести токены/монеты (в статье использую как синонимы) по более низкой цене чем, которая может быть в будущем после листинга и начала открытых торгов на криптобиржах. Токенсейлы различаются по форме/этапам и процедуре проведения: ICO, IEO, IDO , Pre-ICO, приватный сейл. Изучая различные ресурсы, обратил внимание, что иногда границы между этими понятиями размываются, появляются новые разновидности сейлов, но всё же есть характерные черты, отделяющие их друг от друга. Рассмотрим подробнее каждый из них. Этапы На рынке стартапов, компании привлекают финансирование раундами – от раунда А (когда у компании может быть только идея) до выхода на IPO с рабочим продуктом. Подобная аналогия работает и в криптосфере – проекты могут привлекать инвестиции, проводя токенсейлы в несколько этапов: приватная продажа, пред-продажа и публичная продажа. Приватная продажа – наиболее ранний этап. Продажа монет для ограниченного круга инвесторов (зачастую это институциональные или частные венчурные инвесторы) с чётко обозначенной минимальной суммой инвестиций. Детали продажи недоступны для широкой публики. Она может проходить при наличии у стартапа лишь технической и бизнес-документации на проект, а не самого продукта. Приватная продажа имеет плюсы в виде минимальной цены за токен и неких бонусов для инвесторов, но является более рискованным вложением средств, чем в последующих этапах. Пред-продажа (также используют термины Pre-ICO, пресейл) – на этом этапе пользователи могут купить токены с некоторыми преимуществами в цене по сравнению с будущей основной продажей. Зачастую это ранняя стадия разработки проекта и инвесторам необходимо ждать полноценного запуска, прежде чем они смогут реализовать купленные монеты. Иногда пресейлы проводятся с целью повысить узнаваемость проекта у пользователей, что позволяет выходить на ICO уже с некоторой базой лояльных инвесторов. Публичная продажа — это основной этап сбора средств для проекта: ICO, IEO, IDO. Здесь расчёт на максимально широкий охват потенциальных инвесторов, для чего устанавливается минимальный порог суммы инвестиций. ICO ICO (Initial Coin Offering) – первичное размещение монет. Это вид токенсейла, когда продажа монет проводится проектом самостоятельно или через посредника (специальные площадки или частные инвестиционные компании). Разработчики создают проект на одном из существующих блокчейнов: Ethereum, BinanceSmartChain, Waves и др. или разрабатывает собственный блокчейн. Далее делают инвестиционную площадку (сайт), смарт-контракт для продажи токенов и сбора средств, занимаются маркетингом и привлечением инвесторов. Процедура ICO удобна и минимально затратна для проекта, но несёт с собой высокие риски для инвесторов. Поскольку крипторынок в целом и ICO, в частности, практически не регулируется законодательно, команда разработчиков может не раскрывать реальную информацию о себе. Существуют примеры ICO, где команда просто присваивала себе собранные средства и скрывалась. Наибольший пик скамов пришёлся на 2017-2018 годы. Один из крупнейших случаев мошенничества – это ICO PinCoin и IFan, в котором организаторы собрали более 660 млн USD, после чего скрылись вместе со средствами. Когда ICO организует посредник, то задача по проверке проекта на скамность, инвестиционную привлекательность, по продвижению проекта и привлечению инвесторов ложится на него. Для инвестора это выглядит более безопасно, поскольку можно попытаться предварительно оценить репутацию посредника и узнать какие проекты он ранее вывел на ICO. Самый известный и надёжный организатор ICO, которого нам удалось найти – это CoinList. Подробно о платформе и проводимых ей сейлах будет дальше. Покупка монет на этапе ICO не гарантирует роста её стоимости в будущем. Проект может развиваться не в соответствии с заявленными темпами, откладывать запуск и не выйти на биржу. Или же когда произойдёт листинг на бирже, то при отсутствии спроса пользователи могут совершить «дамп» монеты и обрушить её курс. IEO IEO (Initial Exchange Offering) – первичное биржевое предложение. Это вид токенсейла, когда организацией продажи монет занимается криптобиржа. По сути, IEO это тот же ICO, но под контролем криптобиржи. Я бы назвал IEO более «совершенной» формой токенсейла, чем ICO и полезной для всех добросовестных участников рынка. Для инвестора, не обладающего инсайдерскими данными или профессиональными консультантами, IEO привлекателен по следующим причинам: перед токенсейлом проект проходит процедуру проверки (Due Diligence) у экспертов биржи. Она включает в себя проверку уставных документов, регистрацию юридического лица и процедуру AML, обязывающую организаторов проекта раскрыть свои данные. Проверяется финансовая составляющая проекта: бизнес-модель, инвестиционный потенциал, риски и т.д. Техническая часть, включающая тест на децентрализацию (насколько сильно влияние одного человека или группы на блокчейн), состав команды, активность разработки на GitHub, факт проверки кода на ошибки сторонними организациями и т.д. Биржа заинтересована в сохранении своей репутации и популярности у пользователей, поэтому в её интересах не допустить на рынок скам или «сырой» проект; за проведение IEO и последующий листинг монеты стартап оплачивает сбор. В случае оплаты реальными средствами, а не будущими токенами, это говорит о вложении командой собственных средств в проект; гарантированное начало торгов токена проекта на бирже. Недостатком для инвестора является процедура KYC (обязательная верификация личности), которую необходимо пройти, чтобы принять участие в сейле. Также, как и в случае с ICO надо помнить, что начало торгов на бирже не гарантирует рост стоимости монеты.
